Introduction
Welcome to Lulu Rug. By accessing or using our website www.lulurug.com, and/or purchasing products from us, you agree to these Terms & Conditions (“T&C”) and our Privacy Policy. If you do not agree to these T&C, please do not use our website or purchase our products.

Definitions

“Products” means the rugs, bespoke designs, and any related goods offered by us.
“You” or “Customer” means the individual or entity placing an order with us.
“Website” means the online site under our control where you purchase Products.

Ordering & Acceptance

When you place an order for a Product, you submit an offer to purchase subject to these T&C.
We reserve the right to accept or decline your order in our sole discretion (for example due to product availability, errors in pricing or description, or regulatory reasons).
You will receive confirmation of your order and acceptance when we issue you an order confirmation. The contract between you and us is formed at that point.

Pricing & Payment

A 50% deposit is due at the time of ordering.
Remaining balance will be paid at the time of delivery.
We reserve the right to change prices at any time, but changes will not affect orders already accepted.

Delivery & Risk

We will deliver the Products to the address you provide using the shipping method we indicate.
Risk of loss and title to the Products pass to you when the Products are delivered to the carrier.
Delivery times are estimates only and we do not guarantee delivery by a specific date. Delays may occur

Returns, Exchanges & Refunds

As our Products are often bespoke or custom-made (or custom-sized or tailored), we may not accept returns, exchanges or refunds unless required by law or otherwise agreed in writing.
If we accept a return or exchange, any refund or credit will be subject to our standard policy (which we will make available) and may exclude shipping costs, restocking fees or custom manufacturing costs.
To the extent permitted by law, we disclaim liability for any damage or defect unless you notify us within a reasonable time after delivery.

Product Description & Use

We attempt to provide accurate descriptions and images of our Products. However, color, texture and sizing may vary slightly due to the handmade nature of some items.

You should ensure that the Products are suitable for the purpose you intend. We disclaim any warranty for a specific purpose unless we have expressly agreed in writing.

Intellectual Property

All content on the Website (including text, images, logos, designs) is owned or licensed by us and is protected by intellectual property laws.
You may download or print materials from the Website for your own personal, non-commercial use only. You may not reproduce, modify, distribute or create derivative works without our prior written consent.

Limitation of Liability

To the fullest extent permitted by law, our liability to you arising out of or in connection with any Products or use of the Website is limited to the amount you paid for the relevant Product.
In no event shall we be liable for any indirect, incidental, special or consequential loss (including lost profits, loss of business, etc.) even if we have been advised of the possibility of such loss.
Nothing in these T&C shall exclude or limit liability for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend and hold us harmless (and our officers, directors, employees, agents) from any claims, damages, losses, liabilities, costs or expenses arising from your breach of these T&C, your misuse of the Products, or your violation of any law or right of a third-party.

Governing Law & Jurisdiction

These T&C are governed by the laws of the State of California, USA. You agree that any dispute will be subject to the exclusive jurisdiction of the state or federal courts located in Santa Cruz County, California (or another location we specify).

Changes to These Terms

We may update these T&C from time to time. The updated version will be posted on the Website with a revised effective date. By continuing to use the Website or purchase Products after the changes, you accept the updated T&C

Severability

If any provision of these T&C is held invalid or unenforceable, that provision shall be deemed severed from these T&C and shall not affect the validity of the remaining provisions.

Entire Agreement

These T&C, together with any order confirmation and the Privacy Policy, constitute the entire agreement between you and us regarding the Products and supersede any prior agreements, understandings or representations
